Navigate Wellbeing Solutions Promotions Terms and Conditions

These Navigate Wellbeing Solutions Promotions Terms and Conditions (these "Promo Terms") apply to the promotions that Navigate Wellbeing Solutions conducts from time-to-time, including, without limitation, referral programs, customer reference programs, gifts and gift card giveaways, and discounts or other offers and incentives based on specified activities, like event participation (each individually, a "Promotion," and collectively, "Promotions"). These Promo Terms may be supplemented, modified and/or superseded by terms and conditions communicated in connection with a specific Promotion. In the event there is any conflict or inconsistency between these Promo Terms and the terms and conditions communicated in connection with a Promotion, then the terms and conditions communicated with such Promotion shall govern and control to the extent of any such conflict and/or inconsistency. 

By participating in any Promotion, you agree to these Promo Terms, and Navigate Privacy Policy available at https://www.navigatewell.com/privacy-policy.

If you are participating in a Promotion on behalf of an entity or other organization: (i) references to “you” are to such entity or organization; (ii) you are accepting these Promo Terms for that entity or organization, and (iii) you are representing to Navigate Wellbeing Solutions that you have the authority to bind that entity or organization to these Promo Terms. 

Navigate Wellbeing Solutions may modify or amend these Promo Terms at any time, without notice to you. Your continued participation in any Promotion and/or your use of any vouchers, credits, discounts or other offers and incentives (collectively, "offers") following any such modifications or amendments shall constitute your acceptance of such modifications or amendments.

  1. General Rules; Promotion Limitations

    • Each Promotion is a limited time offer and may be subject to availability.

    • You represent to Navigate that you are of legal age of majority in your jurisdiction of residence at the time of your participation in a Promotion. 

    • Promotions are not valid for cash or cash equivalents. 

    • Promotions cannot be applied to previous purchases or subscriptions and may not be combined with other offers.

    • Promotions are non-transferable and may not be resold, auctioned, bartered, leased or exchanged.

    • Unless otherwise stated, the offer is limited to one per person.

    • Participation in any Promotion is subject to a qualification review by Navigate. To qualify for an offer, you must be directly responsible for evaluating or making business decisions regarding your company's or that of your client’s use or purchase of Navigate’s products and services.

    • If you qualify for an offer, we will contact you via the email address provided.

    • If you violate any of these Promo Terms or any other terms communicated with the Promotion, the Promotion will be invalid.

    • Promotions are void where prohibited by applicable law. 

    • You are responsible for any taxes, duties, and/or fees associated with receiving or using an item or service in connection with a Promotion.

    • Navigate reserves the right to modify or cancel the Promotion or any terms or conditions applicable to the Promotion, in its sole discretion, at any time and without any notice, and for any reason, including, without limitation, for technical issues or other unforeseen circumstances, or if Navigate suspects or determines your actions with respect to any Promotion involve fraud, abuse, or bad faith. Navigate shall not be liable for any financial loss arising out of the refusal, cancellation or withdrawal of any Promotion or any failure or inability on your part to take advantage of a Promotion for any reason. 

    • By submitting any content as part of any Promotion, you grant Navigate a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, edit, copy, transmit, publish, translate, create derivative forms, distribute and display your submission and content in any media formats including both paid and owned media channels, for any lawful purpose on a global basis, including without limitation, for promotion, publicity, and advertising purposes.

    • Promotions are only valid for the Navigate products and services that are available and supported in the country in which eligible entities are domiciled. Navigate reserves the right to determine product or service availability on a country-by-country basis, and any products or services that are not available, supported, or otherwise offered in the relevant country are expressly excluded from the scope of any Promotion.

    • Navigate is not responsible for any differences in conversion rates or any resulting changes in the value of your promotional credit based on the currency of the Promotion or means of redemption.

    • Navigate is not responsible for any technical issues, or other technical or human errors that may affect the operation or outcome of any Promotion.

    • Navigate is not responsible for gifts, prizes, or packages related to a Promotion that are lost, stolen, or damaged after delivery has been confirmed by the applicable carrier or fulfillment vendor. Recipients are responsible for ensuring delivery to a secure location.

    • Employees, contractors, and other agents of Navigate and its affiliates, as well as their immediate family members, are not eligible to participate in any Promotion.

    • Employees of government entities, government-controlled entities, or government-owned entities are not eligible to participate in any Promotion. 

    • If any provision of these Promo Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

    • Unless specified otherwise by Navigate, Promotions are limited to one (1) per eligible individual or entity for every three hundred and sixty-five (365) days.

       

  2. Navigate Gift Card Promotion Rules and Limitations

    • To qualify for a gift card, you must:

      1. Be employee at or above the Manager level in a human resource (“HR”) or benefits or executive role at a US company with 500 or more full-time employees; and

      2. Qualify for, schedule, and complete a demo of Navigate’s solutions with a Navigate representative;

      3. Not be existing Navigate Customer.

    • This Promotion is limited to one (1) per qualified person, per Company.

    • Government entities, government-controlled entities, or government-owned entities are not eligible to participate in Promotion. 

    • Only the qualifying person scheduling the Navigate demo and completing the post demo questionnaire will receive a virtual Nike gift card. The gift card will be sent via email from Navigate within ten (10) business days of completing the questionnaire containing instructions on how to redeem their $200 virtual Nike gift card.

       

  3. Navigate Workforce Mental Health Initiative Rules and Limitations

    • Offer is applicable only to the first twelve (12) months of recurring subscription charges set forth on the initial Order Form for Navigate Wellbeing Solutions platform, and does not apply to other recurring or one-time costs, taxes, and/or governmental charges.

    • The Order Form minimum contract length must be thirty-six (36) months for Optimized or Total Health platform.

    • To qualify for the Workforce Mental Health Initiative for first 12 months of contract terms (“Eligibility Requirements”):

      1. You must be an authorized purchaser on behalf of your Company

      2. Your Company must:

        1. Employ 200 or more full-time employees in the United States;

        2. Be domiciled in the United States;

        3. Schedule, book, and attend a demo with a Navigate representative;

        4. Enter into an Order Form with Navigate and launch Navigate platform on or prior to January 1, 2027; and

        5. Not be existing Navigate Customer

      3. Only employees in the United States are eligible for Mental Health Coaching by Navigate Coaches.

    • This Promotion does not apply to co-termed agreements, contract amendments, or other modifications that do not constitute a new thirty-six (36) month subscription term or an early renewal.

    • This Promotion may not be combined with any other offer, discount, or promotion, unless expressly approved by Navigate.

    • Mental Health Coaching pricing for Year 2 and 3 will be established in the Order Form at contract execution. 

    • Government entities, government-controlled entities, or government-owned entities are not eligible to participate in Promotion. 

    • By participating in the Workforce Mental Health Initiative, you agree to allow Navigate to conduct a case study of your company’s use of Navigate, including to conduct any interviews, for Navigate’s own promotion, publicity, advertising, and marketing purposes.

    • By participating in a Navigate case study, you grant Navigate a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, edit, copy, transmit, publish, translate, create derivative forms, distribute and display your submissions and content provided to Navigate as part of the case study, in any media formats including both paid and owned media channels, for any lawful purpose on a global basis, including, without limitation, for Navigates’s promotion, publicity, and advertising purposes.

    • This promotion is limited to one (1) per eligible Company.

       

  4. Navigate Health Improvement Guarantee Rules and Limitations 

    • Offer is applicable only to the first thirty-six (36) months of recurring subscription charges set forth on the initial Order Form for Navigate Wellbeing Solutions platform, and does not apply to other recurring or one-time costs, taxes, and/or governmental charges.

    • The Order Form minimum contract length must be thirty-six (36) months for Total Health platform.

    • To qualify for the Health Improvement Guarantee for 36 months of contract terms (“Eligibility Requirements”):

      1. You must be an authorized purchaser on behalf of your Company

      2. Your Company must:

        1. Employ 3,000 or more full-time employees in the United States;

        2. Be domiciled in the United States;

        3. Schedule, book, and attend a demo with a Navigate representative;

        4. Enter into an Order Form with Navigate and launch Navigate Total Health platform on or prior to January 1, 2027; 

        5. Follow Navigate Best Practices;

        6. Offer biometric screenings and integrate biometric screening data with Navigate; and

        7. Not be existing Navigate Customer

    • This Promotion does not apply to co-termed agreements, contract amendments, or other modifications that do not constitute a new thirty-six (36) month subscription term or an early renewal.

    • This Promotion may not be combined with any other offer, discount, or promotion, unless expressly approved by Navigate.

  • By meeting eligibility requirements, entering into this Promotion, agreeing to Navigate requirements, completing Order Form, launching on or before January 1, 2027, and maintaining minimum participant competition as noted below, Navigate will place 30% of fees at risk tied to agreed-upon outcomes, with final analysis occurring at the close of Year 3.

  • Minimum participation requirements apply and if not achieved, no fees at risk will be distributed.

    • Minimum of 10% (300 minimum) participants must complete biometric screenings in Year 1 and Year 3.

      • Biometric screening defined at minimum as values collected for height, weight, blood pressure, total cholesterol, triglycerides, and blood glucose, or a1c.

        • If minimum screening is not collected for the participant, they will be excluded from the analysis.

      • Baseline analysis will be conducted at end of Year 1, based on program dates.

      • The final analysis will occur at the close of Year 3, evaluating the portion of participants who have improved their risk category in at least one wellbeing pillar from Year 1 to Year 3.

  • Government entities, government-controlled entities, or government-owned entities are not eligible to participate in Promotion. 

  • By participating in the Health Improvement Guarantee, you agree to allow Navigate to conduct a case study of your company’s use of Navigate, including to conduct any interviews, for Navigate’s own promotion, publicity, advertising, and marketing purposes.

  • By participating in a Navigate case study, you grant Navigate a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, edit, copy, transmit, publish, translate, create derivative forms, distribute and display your submissions and content provided to Navigate as part of the case study, in any media formats including both paid and owned media channels, for any lawful purpose on a global basis, including, without limitation, for Navigates’s promotion, publicity, and advertising purposes.

  • This promotion is limited to one (1) per eligible Company.
